Executive Officers

Denny Kim, 43
Chief Executive Officer and Director

Mr. Kim is the Founder of Whale Point Capital LLC, a newly established independent sponsor firm focused on providing growth capital to financial services companies. Since 2020, he has served as a member of the board of directors of Sterling Bancorp Inc. (NASDAQ: SBT), where he is Chairman of the Asset-Liability Committee and serves as a member of the Nominating & Corporate Governance Committee, Executive Compensation Committee, Ethic & Compliance Committee and Risk Committee. He is also the Managing Principal of 7911 Partners LLC, a private investment and advisory firm he founded in 2019. From 2010 to 2018, Mr. Kim was a senior investment professional and Investment Committee member at WL Ross & Co., a private equity firm founded by former U.S. Commerce Secretary Wilbur L. Ross, where he specialized in financial services investments. Prior to WL Ross & Co., Mr. Kim worked at J.C. Flowers & Co., a private equity firm dedicated to investing globally in the financial services industry. He began his career at Credit Suisse First Boston’s Investment Banking Division, where he advised on mergers, acquisitions and capital raising initiatives for financial institutions. Previously, Mr. Kim served as a member of the board of directors of Talmer, where he also served on the Compensation Committee and the Nominating & Corporate Governance Committee. He has also been a board observer of Sun Bancorp, Inc. and advisor to Gemspring Capital. Mr. Kim earned a Bachelor of Arts from Northwestern University and a Master of Business Administration from the Tuck School of Business at Dartmouth.


Dennis L. Klaeser, 64
Chief Financial Officer and Director Nominee

Since 2021, Mr. Klaeser has served as a member of the board of directors of Old Second Bancorp, Inc. (NASDAQ: OSBC), where he serves on the Audit, Risk and Executive Compensation Committee. From 2019 to 2020, Mr. Klaeser was Chief Financial Officer of TCF and a member of its’ bank subsidiary’s board of directors. From 2016 to 2019, he served as Chief Financial Officer of CFC, which merged with TCF in August 2019. From 2010 to 2016, Mr. Klaeser served as Chief Financial Officer of Talmer, which was sold to CFC in August 2016. From 2009 to 2010, he was a senior Midwest bank analyst with Raymond James and, from 2003 to 2009, he was Chief Financial Officer of PrivateBancorp, Inc. and a member of the board of directors of The PrivateBank. From 2000 to 2002, Mr. Klaeser was Managing Director and Head of the Financial Institutions Group for Anderson Corporate Finance, a division of Arthur Andersen LLP, where he was responsible for advising financial institutions on complex merger and acquisition transactions, restructuring and divestures. Mr. Klaeser also spent seven years as an investment banker and was head of the Financial Institutions Group at EVEREN Securities, where he managed a variety of initial public offerings, capital raises and merger and acquisition assignments with banks, specialty finance and mortgage companies. Mr. Klaeser serves as a member of the Board of Trustees for Lawrence University. Mr. Klaeser earned a Bachelor of Arts from Lawrence University, a Master of Business Administration from the Kellogg School of Management at Northwestern University and Master of Arts degrees in Public Policy and Social Service Administration from The University of Chicago.



Board of Directors

David T. Provost, 68
Director Nominee

Mr. Provost currently serves as an advisor to HBAN. Mr. Provost was formerly Chief Executive Officer of TCF and a member of TCF’s board of directors until its sale to HBAN in 2021. He served as Executive Vice Chairman of TCF and Chairman of TCF Bank from 2019 until 2020. Mr. Provost previously served as President and Chief Executive Officer of CFC from 2017 to 2019, and Vice Chairman from 2016 until 2017. He previously served as the Chief Executive Officer, President and as a director of Talmer beginning in 2008 until Talmer’s merger with CFC in 2016. Before joining Talmer, Mr. Provost established The Bank of Bloomfield Hills, which he combined with The Bank of Rochester and sold to PrivateBancorp, Inc. in 2005. Mr. Provost served as Chairman and Chief Executive Officer of The Private Bank-Michigan, then a subsidiary of Chicago-based Private Bancorp, Inc. Mr. Provost also served as Chief Executive Officer of Bloomfield Hills Bancorp, and as Chairman and Chief Executive Officer of The Private Bank. Mr. Provost started his banking career at Manufacturers Bank of Detroit, now Comerica. Mr. Provost serves on the board of directors of the Detroit Economic Club, SAY Detroit Play Center, Detroit Symphony Orchestra, Robert Schuele Scholarship Fund and Partners in Torah and as a Trustee of the Community Foundation of Southeast Michigan. Mr. Provost has served as a member of the board of directors of Plastipak Holdings, Inc. and its subsidiaries and as Chairman of its Audit Committee. He has also previously served as Chairman of the Board of Trustees of Alma College. Mr. Provost was a recipient of the Crain’s Detroit Business “40 under 40”, Deal Maker of the Year, and Most Influential Business Professionals as well as the Ernst & Young Entrepreneur of the Year in 2006 and 2015. Mr. Provost earned a Bachelor of Arts from Alma College, a Master of Business Administration from Eastern Michigan University and graduated from the University of Wisconsin School of Banking. He also received three honorary doctorates, a Doctor of Letters from Alma College, a Doctor of Business from Eastern Michigan University and a Doctor of Laws from Walsh College.


Saul I. Sanders, 68
Director Nominee

Mr. Sanders was founding partner, Co-Chief Executive Officer and a board member of Shellpoint Partners, a specialty finance company focused on the U.S. residential real estate market, where he served from 2010 to 2018. He was also the Co-Chief Executive Officer and a board member of New Penn Financial, a subsidiary of Shellpoint Partners and a residential mortgage loan originator and servicer, where he served from 2011 to 2018. Previously, Mr. Sanders was a founding partner and Co-Chief Executive Officer of C-BASS, Co-Head of Citi’s residential and commercial mortgage-backed securities (“MBS”) business, Co-Head of Goldman Sachs’ Financial Institutions Restructuring Group and a founder of Goldman Sachs’ non-agency MBS and asset-back securities businesses. Prior to Goldman Sachs, he also served as the Chief Financial Officer of Citi’s North American Investment Banking Division, was a founding member of Citi’s private label credit card business and played an integral role in Citi’s newly established MBS whole loan business. Mr. Sanders began his career as a Certified Public Accountant with Deloitte & Touche. Mr. Sanders serves as a member of the board of directors of RealSure LLC and Sphera Wines LLC, of which he is also a co-owner, and board of advisors for Home Partners of America Inc., Center Creek Housing Fund II LP and Center Creek Housing Fund III LP. He also serves as the Chairman of the Schechter Institute of Jewish Studies and Schechter Institutes Inc. and on the boards of the Miami City Ballet (Treasurer and Chair of the Finance Committee), The Joyce Theater Foundation (Chair of the Audit Committee), The Jewish Theological Seminary, American Friends of Batsheva Dance Company (Chair of the Governance Committee) and Mercaz USA. Mr. Sanders graduated from the Wharton School of The University of Pennsylvania with a Bachelor of Science in Economics and a Master of Business Administration.


Jennifer M. Farrelly, 40
Director Nominee

Ms. Farrelly is Senior Vice President, Office of the Co-Chairmen, at Two Sigma Investments LP, where she is a strategist to C-suite executives and leading organizations in the corporate, financial services and technology sectors. Since 2019, Ms. Farrelly has led growth initiatives across firm management, strategic partnerships, external affairs and philanthropy on behalf of the Two Sigma’s Co-Founder and Co-Chairman David Siegel. In addition, she is an advisor to Even Financial, a New York City-based FinTech focused on embedded finance marketplaces. From 2014 to 2018, she was Chief Marketing & Communications Officer at General Atlantic, a global growth equity firm, where she developed and led the firm’s global external relations program, including corporate communications, brand strategy, events and partnerships, corporate citizenship, and environmental, social, and governance. Prior to that, Ms. Farrelly was Vice President of Corporate Marketing & Communications at Kohlberg Kravis Roberts and a senior member of Edelman’s Corporate & Financial Communications practice, where she advised alternative asset management and technology clients. She began her career as an equity research analyst at Citigroup and Stifel Nicolaus. Ms. Farrelly holds a Master of Business Administration from the Tuck School of Business at Dartmouth and a Bachelor of Arts from Johns Hopkins University.
