- Hudson Executive Investment Corp. II announced that the Company’s board of directors has determined to dissolve and liquidate HCII in accordance with its governing documents because it will not consummate an initial business combination within the time period required by its Amended and Restated Certificate of Incorporation.
- All outstanding shares of common stock of the Company issued in connection with the Company’s initial public offering will be redeemed at a per-share redemption price of approximately $10.10, such redemption is expected to occur on December 21, 2022.

Douglas G. Bergeron, 60
Chief Executive Officer and Director
Mr. Bergeron is also Co-Founder, Chief Executive Officer and member of the board of directors of HEIC I since February 2020. Mr. Bergeron has served as a Managing Member of HEC Management GP LLC and a Managing Partner of Hudson Executive Capital since February 2020, and as an advisor to Hudson Executive Capital since 2015. Prior to joining Hudson Executive Capital, Mr. Bergeron acted as the CEO of Verifone from July 2001 through March 2013, during which time Mr. Bergeron grew Verifone organically as well as through accretive, value-enhancing acquisitions and strategic partnership. In 2002, Mr. Bergeron founded DGB Investment, Inc., a diversified holding company. Mr. Bergeron also held numerous positions at SunGard Data Systems from April 1990 to May 1999, including Managing Director of SunGard Capital Markets N.A., President of SunGard Futures Systems, and Group CEO of SunGard Brokerage Systems Group. Mr. Bergeron currently serves as the Chairman of the Board of USA Technologies, Inc. and United Language Group, is a member of the board of directors of Pipeworks Studios and Renters Warehouse, and is an investor and advisor to Blend, Inc. He received his B.A from York University in Toronto in 1983 and his M.S. from the University of Southern California in 1987. He was awarded an Honorary Doctorate of Laws (LLD) from York University in 2013.
Jonathan Dobres, 43 [Resigned 9/21/21]
Chief Financial Officer
Jonathan Dobres is also the Chief Financial Officer of HEIC I since February 2020. Mr. Dobres is currently an investment professional at Hudson Executive Capital. Prior to joining Hudson Executive Capital, Mr. Dobres was a Managing Director of Flexis Capital LLC, a private equity firm concentrating on middle market investments. Additionally, Mr. Dobres has been a Vice President at P. Schoenfeld Asset Management, a multi-strategy hedge fund from April 2008 to June 2009 and a Vice President in the Technology, Media & Telecommunications Investment Banking group at Bear, Stearns & Co. from August 2005 to April 2008. From August 2002 to August 2005, Mr. Dobres was an attorney in the financial services group at Sullivan & Cromwell LLP. He received his B.B.A. from Emory University in 1999 and his J.D. from Georgetown University Law Center in 2002.

Douglas L. Braunstein, 59
President, Chairman and Director
Mr. Braunstein is also Co-Founder, President and Chairman of the board of directors of HEIC I since February 2020. Mr. Braunstein has served as a Managing Member and Founder of HEC Management GP LLC and as a Managing Partner and Founder of Hudson Executive Capital since January 2015. Prior to Hudson Executive Capital, Mr. Braunstein acted as CFO, Vice Chair, a member of the Operating Committee, and Head of Americas Investment Banking and Global M&A, among others roles at JPMorgan from March 1997 to January 2015. During that time, Mr. Braunstein was instrumental in originating, structuring, negotiating and advising on many significant transactions, including Mars’ acquisition of the Wm. Wrigley Jr. Company, InBev’s acquisition of Anheuser-Busch, Verizon’s acquisition of MCI, and HP’s acquisition of EDS. Mr. Braunstein currently serves as a director of USA Technologies, Inc. and Cardtronics plc. Mr. Braunstein is a trustee of Cornell University, Chair of the Finance Committee and a member of Cornell’s Investment Committee. He received his B.S. from Cornell University in 1983 and his J.D. from Harvard Law School in 1986.
Amy Schulman, 60

Ms. Schulman is a healthcare investor and Managing Partner at Polaris Partners. She also co-founded and acts as Managing Partner of the Polaris Innovation Fund, which was formed in 2017. Schulman currently serves as Executive Chair of SQZ Biotech, as well as Lyndra Therapeutics where she was a co-founder and the company’s initial CEO. She also represents Polaris as a Director of Kallyope, Volastra, Thirty Madison and ByHeart. Amy joined Polaris in 2014. Prior to joining Polaris, Schulman held various executive roles at Pfizer including as General Counsel, President of Pfizer Consumer Healthcare and Pfizer Nutrition, where she was instrumental in its sale to Nestle for $11.85 billion. Schulman has received numerous awards including 2019 PharmaVoice 100, Xconomy’s 2017 Newcomer Award, Scientific American’s 2015 Worldview 100 List, Fierce Biotech’s 2014 Top 15 Women in Biotech, and Fortune Magazine’s 2013 50 Most Powerful Women in Business. She is a Senior Lecturer at Harvard Business School and serves on the Board of Directors of Alnylam Pharmaceuticals (NASDAQ: ALNY) and Mount Sinai Hospital. She is also a Member of Singapore’s Health and Biomedical Sciences International Advisory Council. Schulman is a Phi Beta Kappa graduate of Wesleyan University with a joint degree in philosophy and English and earned her J.D. from Yale Law School.
Paul Ormond [Elected 4-14-21]

Mr. Ormond was the founder of HCR ManorCare, Inc., one of the largest owners and operators of post-acute rehabilitation and long-term care centers in the United States, and held various executive roles during his 32 years at the company prior to retiring in 2017, including President, Chairman and Chief Executive Officer. While at HCR ManorCare, Inc., Mr. Ormond led the company’s initial public offering in 1991 and oversaw the company going private in 2007. Prior to joining HCR ManorCare, Mr. Ormond served as Vice-President of Owens-Illinois from June 1973 to December 1985. Mr. Ormand has held numerous board memberships, including as a member of the board of directors of National City Corporation. He was also a member of the Stanford University Board of Trustees, and numerous other Stanford boards and advisory councils, and is a former member and chairman of the University of Toledo College of Business advisory board. He has been active with numerous charitable organizations, including the national Alzheimer’s Association, United Way and various other charitable entities. Mr. Ormond graduated with honors, receiving a BA degree in economics from Stanford University and an MBA from the Stanford University Graduate School of Business.
Ira Mosberg, 45 [Elected 9-21-21]

Mr. Mosberg, age 45 years old, currently serves as the Chief Financial Officer of Hudson Executive Capital. He joined the firm as controller in November 2015 and was promoted to his current role in August 2017. Mr. Mosberg’s overall responsibilities include the accounting, tax and financial statement preparation for Hudson Executive Capital’s investment vehicles and management company. Prior to joining Hudson Executive Capital, he worked at Welch Capital as the finance controller and trader. Prior to joining Welch Capital in 2013, Mr. Mosberg worked as a controller in the operations group at Bridger Capital, LLC where he was responsible for the accounting and financial statement preparation of the firm’s investment vehicles. Prior to joining Bridger Capital, LLC in 2007, he worked as an assistant controller at JWM Partners, LLC. Prior to joining JWM Partners, LLC in 2003, he worked at Rothstein, Kass & Company in the financial services group. Mr. Mosberg is a certified public accountant and earned his BSM in accounting from Tulane University in May 1998.
