Long Chen, 33
Chief Executive Officer, Chairman and Director

Mr. Chen is a successful entrepreneur and an experienced business executive manager. Mr. Chen has extensive experience in corporate strategy development, finance and acquisition, business operations and financial management. Before joining us, Mr. Chen founded Beijing Xiying Times Culture Group Co. Ltd. in 2019, an e-commerce based social media and entertainment online shopping company. Since 2017, Mr. Chen founded and worked as the chairman in Wuhan Love Food Agriculture Development Technology Co., Ltd., a social catering and ordering online platform company. From 2013 to present Mr. Chen founded and worked as the chairman in Jiangxi Oujiewei Technology Co., Ltd., an O2O online laundry company. Currently both Wuhan Love Food Agriculture Development Technology Co., Ltd. and Jiangxi Oujiewei Technology Co., Ltd. have no operations.

Xingyun (Tracy) Xu, 36
Chief Financial Officer and Director

Ms. Xu has over 12 years of experience in accounting, corporate finance and capital markets. Before joining us, Ms. Xu has been serving as the general manager of Shenzhen Enesoon Clean Energy Investment Limited (“Shenzhen Enesoon”), being responsible for the company’s developing and operating of build-operate-transfer (“BOT”) assets engaged in clean energy industry. From April 2016 to December 2018, Ms. Xu served in Shenzhen Enesoon Technology Co., Ltd. as its vice president in charge of company’s investment, financing and public listing projects. From 2009 to April 2016, Ms. Xu worked as an auditor manager at KPMG Huazhen LLP, a member firm of KPMG global organization of independent member firms affiliated with KPMG International Limited, in charge of audit of financial statements. She also participated in financial due diligence, coordinated with various listed intermediaries (including the company, sponsors, domestic and foreign legal advisers, industry consultants, internal control consultants and appraisers) to promote the listing progress. Ms. Xu is experienced in reviewing the prospectus, financial information disclosure, forecast, etc. Ms. Xu has also been the director of various new energy companies in the PRC. Currently, she is the director of Tangshan Yingda Aineng Clean Energy Co. Ltd., Shandong Yonghe Aineng Clean Energy Co. Ltd., Wuzhi County Enesoon Clean Energy Co. Ltd., and Qingdao Enesoon Low-Carbon Development Co. Ltd.

Yiru (Melody) Shi, 49
Independent Director Nominee

Ms. Shi has more than 10 years of experience in financial accounting and management. She has been the Chairwoman of the board of directors and the Chief Executive Officer of Biotech Group Acquisition Corporation since its inception in January 2022, a special purpose acquisition company to be listed on Nasdaq, and an independent director nominee of Huarui International New Material Limited, a company seeking listing on Nasdaq. Ms. Shi has been the Chief Executive Officer of YCM CPA Inc, a registered public accounting firm, since 2020. Ms. Shi is also a Partner at North America CPA Alliance Inc. d/b/a MZ Tax and/or MZ Accounting & Tax Service, a public accounting and tax service company, a position she has held since September 2020. Since June 2018, Ms. Shi has also served as the Chief Executive Officer of Shi & Company, an accounting and consulting service provider. Ms. Shi received a Bachelor of Science degree in Computer Science and a Bachelor of Arts degree in International Trade and Business from the Beijing Polytechnic University, in 1995 and 1997 respectively. Ms. Shi received a Master of Business Administration degree from the University of California at Irvine, in 2003.

Kevin Vassily, 54
Independent Director Nominee

Mr. Vassily has extensive working experience as a senior management team member serving for private and public companies. Before joining us, he was appointed as chief financial officer in January 2021 and as a member of the board of directors in March 2021 for iPower Inc. (Nasdaq: IPW). Prior to joining iPower, from 2019 to January 2021, Mr. Vassily served as vice president of Market Development for Facteus, a financial analytics company focused on the Asset Management industry. From March 2019 through 2020, he served as an advisor at Woodseer, a financial technology firm providing global dividend forecasts. From 2018 through its acquisition in 2020, Mr. Vassily served as an advisor at Go Capture, where he was responsible for providing strategic, business development, and product development advisory services for the company’s emerging “Data as a Service” platform. Since November 2019, Mr. Vassily has served as a director of Zhongchao Inc., a provider of healthcare information, education and training services to healthcare professionals and the public in China. Since July 2018, Mr. Vassily has also served as an advisor at Prometheus Fund, a Shanghai- based merchant bank/PE firm focused on the “green” economy. And from 2015 through 2018, Mr. Vassily served as an associate director of research at Keybanc Capital Markets, and helped to co-manage the Technology Research vertical. From 2010 to 2014, he served as the director of research at Pacific Epoch, where he was responsible for a complete overhaul of product and a complete business model restart post acquisition, re focusing the firm around a “data-first” research offering. From 2007 to 2010, he served as the Asia Technology business development representative and as a senior analyst at Pacific Crest Securities, responsible for establishing the firm’s presence and relevance covering Asia Technology. From 2003 to 2006, he served as senior research analyst in the semiconductor technology group at Susquehanna International Group, responsible for research in semiconductor and related technologies. From 2001 to 2003, Mr. Vassily served as the vice president and senior research analyst for semiconductor capital equipment at Thomas Weisel Partners, responsible for publishing research and maintaining financial models on each of the companies under coverage. Mr. Vassily began his career on Wall Street in 1998, as a research associate covering the semiconductor industry at Lehman Brothers. Mr. Vassily holds a B.A. in liberal arts from Denison University and an M.B.A from the Tuck School of Business at Dartmouth College.

Michael Davidov, 47
Independent Director Nominee

Mr. Davidov has more than 20 years of experience in the fields of investments and corporate finance. Since 2020, Mr. Davidov served as an independent consultant. In 2012, he co-founded and served as the chief investment officer at Middle Kingdom Value Fund and Global Value Partners, special situations fund on China related and global value investments. From April 2006 to July 2009, Mr. Davidov was part of the management team of Middle Kingdom Alliance Corp., a U.S. listed special purpose acquisition company that completed its merger with Pypo China Holdings (a Beijing-based cell phone distribution company) and later changed its name to Funtalk China Holdings Limited (Formerly Nasdaq: FTLK). From January 1999 to December 2009, Mr. Davidov was the director of corporate finance and portfolio manager at High Capital Funding, LLC/Generation Capital, a private equity/special situations fund, where he structured and made private investments in public entities (PIPE) investments as a principal. From 2018 to 2019, Mr. Davidov served as the audit committee chairman for Nutriband (Nasdaq: NTRB). He also served as the independent director of TradeUP Global Corporation, a then special purpose acquisition company listed on Nasdaq, from April 2021 to April 2022. Mr. Davidov received his Bachelor’s degree in Mathematics from Southern Illinois University and an MBA degree in finance from J. Mack Robinson School of Business at Georgia State University. Mr. Davidov is also a director nominee of Feutune Light Acquisition Corporation, a special purpose acquisition company to be listed on Nasdaq, and a director of Fortune Rise Acquisition Corporation, a special purpose acquisition company listed on Nasdaq.
