EXTENSION – 1/30/25 – LINK

  • The SPAC approved the extension from January 29, 2025, to January 29, 2026.
    • 2,303,382 shares were redeemed.
    • $5K per month will be deposited into the trust account.

EXTENSION – 2/2/24 – LINK

  • The SPAC approved the extension from January 29, 2024, to January 29, 2025.
    • 2,126,159  shares were redeemed for $11.13 per share.
    • $55K per month will be deposited into the trust account.

SUBSEQUENT EVENT – 1/16/24 – LINK

  • The Company starts trading its Ordinary Shares and Units on OTCQX today, under the symbols “CSTAF” and “CSTUF” respectively, and its Warrants begin trading on the OTCQB Market under the symbol “CSTWF.”

EXTENSION – 2/1/23 – LINK

  • The Company extended the date by which the Company has to consummate a business combination from January 29, 2023, to April 29, 2023, and may extend on a monthly basis for up to nine times by an additional one month each time without a shareholder vote until January 29, 2024
    • The holders of 26,506,157 Class A ordinary shares exercised their right to redeem their shares for cash at a redemption price of approximately $10.167 per share, for an aggregate redemption amount of $269,485,746.
    • The sponsor deposited $450,000 into the trust account for the first 3 months and will contribute $150K per month 9 times thereafter

SUBSEQUENT EVENT – 1/24/23 – LINK

  • The special meeting is being postponed from January 24, 2023, to January 26, 2023 to allow additional time for Constellation to engage with its shareholders.

Executive Officers

Klaus Kleinfeld, 63
Chairman, Chief Executive Officer, and Director

From October 2017 to July 2018 Mr. Kleinfeld served as CEO of NEOM. Before that, Mr. Kleinfeld served as Chairman and CEO at Arconic from November 2016 to May 2017. Previously Mr. Kleinfeld was the CEO of Alcoa from May 2008 to October 2016 and also its Chairman from April 2010 to October 2016 when he split the company into Alcoa and Arconic. Mr. Kleinfeld holds an MBA from University Goettingen and a PhD in from University Wuerzburg.


Thomas Stapp, 33
Chief Financial Officer

From July 2020 to January 2021, Mr. Stapp served as an Associate Partner of Bain & Company, a leading global management consulting firm. Mr. Stapp was a member of Bain’s Private Equity Group working in depth with major private and public sector financial institutional investors. Mr. Stapp has worked with private equity and institutional investor clients across the investment life cycle, from deal generation and due diligence to portfolio value creation and exit planning. From 2011 to 2020, Mr. Stapp served as a Principal of Oliver Wyman, a leading international management consulting firm. Mr. Stapp was a member of Olivier Wyman’s Corporate Finance & Restructuring Practice supporting investors to identify and evaluate opportunities to deliver superior returns on their funds. Mr. Stapp has a Bachelor of Commerce from Victoria University of Wellington, New Zealand (2009) and a Bachelor of Finance (Honours) from the Australian National University, Australia (2010).

Martin Weckwerth, 53
Investment Officer

Mr. Weckwerth is an experienced investor with over 24 years of private equity and private investing experience. Since September 2013, Mr. Weckwerth has served as Managing Director of MC Investments GmbH, a family office, where he leads various real estate and minority share investments. Prior to his private investing role, Mr. Weckwerth worked for almost 20 years (15 years as a partner), from April 1997 to December 2016, at Permira, a British private equity fund, where he gained significant cross sectoral and functional experience and later focused on the consumer space. Throughout his time at Permira, Mr. Weckwerth played a key role in a wide range of transactions, including Premiere (Pay TV – today, Sky Germany), Hugo Boss and Valentino and screened hundreds of potential deals. Mr. Weckwerth studied Industrial Engineering at TU Darmstadt and the University of Illinois and has a Ph.D. in economics from TU Darmstadt.


Hugo Banziger, 65
Independent Director

Mr. Banziger has been at Deutsche Bank from April 1996 to May 2012 where he has been the Chief Risk Officer in charge of risk, treasury, capital management, compliance and legal from 2006 to 2012. He also served on the bank’s Risk and Audit Committee and was a member of the Senior Compensation Committee. Before joining Deutsche Bank, he served as Senior Executive at Credit Suisse Financial Products and was in charge of risk. From 2014 to December 2018, Mr. Banziger has been Managing Partner at Lombard Odier in charge of finance, risk, compliance, marketing, IT and operations. He chaired the bank’s Senior Compensation Committee and the Risk Committee, and he was a member of the Audit Committee. From July 2012 to June 2018, Mr. Banziger was the Chairman of the Board of EUREX, Europe’s largest exchange for Futures and Traded Options, and also chaired its Risk, Audit and Compensation Committee. Mr. Banziger also currently serves as Head of the Audit Committee of the International Committee of the Red Cross in Geneva. Additionally, since June 2020, he is an advisory board member to Countryrisk.io.


Vesna Nevistic, 55
Independent Director

From July 2009 to April 2012, Ms. Nevistic was a Group Managing Director and Head of Corporate Development at UBS, where she was part of the senior executive team that restructured the bank’s operations following the financial crisis. Prior to joining UBS, Ms. Nevistic was a Managing Director at Goldman Sachs in the Investment Banking Division from July 2006 to July 2009, and a Partner at McKinsey & Company, working out of Zurich and New York offices from February 1997 to June 2006. Ms. Nevistic currently serves as a Non-Executive Director at the Board of Compagnie Financiere Richemont SA since 2017, and is a member of the Audit and Nominations Committees, and at the Supervisory Board of Samskip BV since 2014. She also runs her own advisory boutique focusing on corporate strategy and business transformations. Ms. Nevistic holds a PhD in Electrical Engineering from the Swiss Federal Institute of Technology.


Charles Stonehill, 62
Independent Director

Mr. Stonehill has been a Founding Partner of Green & Blue Advisors LLC since September 2011. Since 2006, he has served as a Director of Bank Julius Baer & Co. Ltd. and has been a Director of Julius Baer Group Ltd. since 2009, where he also currently serves as non-executive Vice Chairman and Chair of the Governance & Risk Committee. Additionally, since May 2019, he has been a Member of the Supervisory Board of Deutsche Boerse AG. He has also served as a non-executive director of Equitable Holdings Inc. since April 2018, where he serves as the Chair of the Finance and Risk Committee and the Chair of the Investments Committee. Mr. Stonehill has also served as a non-executive director of AllianceBernstein Corporation since March 2019, where he serves as Chair of the Audit and Risk Committee. Mr. Stonehill has also served as a non-executive director of PlayMagnus A/S in Oslo since October 2016. From 2015 to 2020, Mr. Stonehill served as a non-executive Director of CommonBond LLC. He is a Governor of Harrow School in the United Kingdom. Mr. Stonehill received a M.A. degree in Modern History from Oxford University.
