Erick Deneb Flores Garcia, 41
Chairman and Chief Executive Officer
Erick Deneb Flores Garcia is an experienced entrepreneur with more than 20 years’ experience in the financial industry. Mr. Flores started his career as a financial advisor, trading bonds, equity and derivatives in U.S. and European markets for Actinver Casa de Bolsa, a brokerage firm in Mexico, in October 2002. From February 2006 to September 2010, Mr. Flores served in HSBC Private Bank, trading securities in the U.S. and emerging markets. From September 2010 to August 2012, Mr. Flores worked for Ikon Multibank Group Beijing and XTB Brokers Spain. In September 2012, Mr. Flores acquired and restructured a company in the financial sector to establish MF Market Makers, which through an alliance with a regulated brokerage firm, provides trading services to worldwide clients. In November 2014, Mr. Flores founded MKM Bolsa Privada, a financial services firm, and has served as its Chief Executive Officer since its formation. Under his leadership, MKM Bolsa Privada has become a well-recognized firm in the financial services industry known for its high-level financial engineering focused on market intelligence, implementation of customized products for its clients and proprietary financial technology. In April 2019, Mr. Flores acquired and restructured a financial entity to establish MKM Wealth Management, with the main objective of strengthening the business’s core. Additionally, in September 2021, Mr. Flores founded MKM Stability Cap, a company engaged in management of private funds. Mr. Flores is dedicated to creating a positive social impact. In November 2022, he established MKM Amor Correspondido (reciprocated love), a foundation which offers free reconstructive surgeries for children from low-income families and extends emotional support to parents, and provides shelter, food, and veterinary care for pets. Mr. Flores received a B.A. in Economics from the University Tecnológico de Estudios Superiores Monterrey (ITESM).
Gerardo Fukutake Sanchez, 39
Chief Financial Officer
Gerardo Fukutake Sanchez is a seasoned financial advisor with more than 18 years of experience. Since May 2017, Mr. Fukutake has served as Chief Commercial Officer at MKM Bolsa Privada leading a team of financial advisors to promote the firm’s investment products. Prior to his current position, Mr. Fukutake has worked for well-known international companies. From February 2010 to May 2017, he served as commercial and investment regional manager in HSBC Private Bank. From August 2007 to January 2010, Mr. Fukutake worked as investor relations coordinator at FEMSA Group (NYSE: FMX), where he was responsible for all the financial reporting to government regulators at both national and international levels. Mr. Fukutake started his career in April 2004 as a securities analyst at Actinver Casa de Bolsa, a brokerage firm in Mexico. Mr. Fukutake received a B.A. in Finance from the University Tecnológico de Estudios Superiores Monterrey (ITESM), as well as a specialized diploma in tax reforms from the Instituto Benemérito de Ciencias Jurídicas.
Yunuen Alvarez Helgueros, 37
Chief Risk Officer and Director
Yunuen Alvarez Helgueros is a highly experienced lawyer in Mexico specializing in corporate governance and tax matters. Mrs. Helgueros has been Chief Financial Officer and Chief Legal Officer for MKM Bolsa Privada and its subsidiaries since September 2017. As head of the legal department, Mrs. Helgueros oversees legal and regulatory compliance, legal strategies, and strategies to mitigate risks for the company and its members and clients. Additionally, in her role as Chief Financial Officer, she supervises the company’s accounting and tax matters, and formulates financial strategies to guide business. Mrs. Helgueros served as state attorney for the Mexican Court from June 2003 to December 2006. From December 2006 to August 2015, Mrs. Helgueros worked as corporate tax lawyer in C&H Empresarial, a tax and financial services company, where she oversaw the company’s tax and litigation compliance. From August 2015 to August 2017, Mr. Helgueros served as Legal Deputy Director for a Mexican government entity focused on the taxpayers’ defense. Mrs. Helgueros received a Degree in Law from the Universidad Mesoamericana, as well as master’s degree in Tax with Specialization in Tax Defense from the Universidad de Guanajuato. Additionally, Mrs. Helgueros received a diploma in Administrative and Fiscal Procedures from Universidad Nacional Autónoma de México.

Jennifer Calabrese, 52
Director Nominee
Jennifer Calabrese will serve as our director upon the effectiveness of the registration statement of which this prospectus forms a part. Ms. Calabrese has more than 25 years’ experience in accounting and SEC reporting. Ms. Calabrese founded Calabrese Consulting, LLC in 2012, a woman-owned, full-service accounting and advisory firm, where she has been the Chief Executive Officer since 2012, responsible for preparing various regulatory reporting documents including financial statements, and leading communication between clients and auditors. From March 2010 to August 2012, Ms. Calabrese served as the Director of Accounting and SEC Reporting at eLandia International Inc., a provider of information technology products and services to small, medium-sized and large businesses and government entities, primarily in Latin America. From July 2007 to March 2010, Ms. Calabrese was the Managing Director of SEC Solutions Group, LLC, a company specializing in SEC financial reporting compliance and consulting services. From June 2004 to July 2007, Ms. Calabrese was the Vice President — Controller and Principal Accounting Officer for MKTG, Inc. (formerly known as CoActive Marketing Group, Inc.). From June 2001 to May 2003, Ms. Calabrese served as the Corporate Controller for United Capital Corp., a former publicly traded real estate management company. Ms. Calabrese began her career at KPMG, LLP, where she held numerous positions, including Senior Audit Manager from January 1994 to June 2001. Ms. Calabrese holds a Bachelor of Business Administration in Accounting and a Bachelor of Arts in Psychology from Hofstra University. Ms. Calabrese earned her Master of Science in Accountancy from the State University of New York Polytechnic Institute. Ms. Calabrese is a Certified Public Accountant, a Chartered Global Management Accountant, and a member of both the American Institute of Certified Public Accountants and the New York State Society of Certified Public Accountants.
William J. Fox, 67
Director Nominee
William J. Fox will serve as our director upon the effectiveness of the registration statement of which this prospectus forms a part. Mr. Fox has significant corporate governance experience as a director on the boards of various publicly traded company. Since October 2023, Mr. Fox has been a member of the board of directors at Panavision Inc., a motion picture equipment company. Additionally, Mr. Fox has been the Co-Founder and Members’ Representative at Midtown Bridge LLC (d/b/a Ice House), a recreational ice skating facility in Hackensack, New Jersey since its founding in 1996. From September 2018 to December 2018 and from April 2020 to July 2020, Mr. Fox also served as an interim executive at Midtown Bridge LLC. From 2008 to 2017, Mr. Fox was a Managing Director at Alvarez & Marsal, a global professional services firm providing advisory, business and management services. During his time at Alvarez & Marsal, Mr. Fox served as an advisor to the board of directors of Argo Turboserve Corporation, a provider of original equipment supply chain management, repair management services, and distributor of aerospace and other industrial components; and a strategic advisor to the board of directors of PHH Corporation, a financial services company primarily providing mortgage services previously traded on the New York Stock Exchange. From 2013 to 2014, Mr. Fox served as the interim Chief Executive Officer of Jackson Hewitt Tax Service Inc., a tax preparation services company. From 2008 to 2013, Mr. Fox held positions of officers and directors at the subsidiaries of Lehman Brothers Holdings Inc. At different times during the years from 1983 to 2008, Mr. Fox held numerous positions including Director, Executive Chairman, and Senior Vice President and Treasurer at various companies in different industries including consumer products, investment funds, and financial services. Mr. Fox is a Certified Public Accountant. Mr. Fox holds a Bachelor of Business Administration in Public Accounting and a Master of Business Administration in Public Accounting from Pace University.
James Jenkins, 59
Director Nominee
James Jenkins will serve as our director upon the effectiveness of the registration statement of which this prospectus forms a part. Mr. Jenkins has significant experience in corporate governance and general corporate law and securities law matters. Since September 2020, Mr. Jenkins has been the General Counsel and Vice President of Corporate Development at Transcat, a provider of accredited calibration, repair, inspection and laboratory instrument services, where he was responsible for leading the acquisition strategy for Transcat to grow both core and ancillary businesses. From 2012 to 2015, Mr. Jenkins served as a director of the board of Lakeland Industries, Inc., a global manufacturer of protective clothing for industry, healthcare and first responders on the federal, state and local levels. From 1989 to 1997, Mr. Jenkins was an Associate at HSE. From 1997 to 2020, Mr. Jenkins was a Partner at HSE, where he was leading the firm’s securities practice and managing the firm’s New York City office. During his time at HSE, Mr. Jenkins represented a broad variety of clients in corporate governance, mergers and acquisitions, and general corporate and securities law matters. In 2018, Mr. Jenkins was honored as the Rochester “Lawyer of the Year” in the area of Corporate Governance Law by the Best Lawyer in America © 2018. Mr. Jenkins was recognized in Chambers USA 2017 American’s Leading Lawyers in Business. Mr. Jenkins was selected to the Upstate New York Super Lawyers list each year from 2011 to 2018. Mr. Jenkins holds a Bachelor of Arts from Virginia Military Institute and a Juris Doctor from West Virginia University College of Law.
